Payroa provides an automated bookkeeping and financial management platform ("Services"), offering real-time data integration, reporting, and analytics tools to businesses and individuals.

Key features of our Platform include:

To use our Services, you must:

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any materials from our Platform without our prior written consent.

Your privacy is important to us. Our collection and use of personal information in connection with the Services is described in our Privacy Policy.

We implement commercially reasonable security measures to protect your data. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

You acknowledge that you are responsible for maintaining the confidentiality of your account credentials and for restricting access to your devices.

Cancellation policies vary by plan type. Monthly subscriptions may be cancelled at any time, effective at the end of the current billing period. Annual subscriptions are subject to our refund policy as outlined in the subscription agreement.

If you use our API or integrate our Services into your applications, you agree to:

• Comply with all API documentation and usage guidelines provided by Payroa.
• Not exceed rate limits or abuse API access in any way that could degrade service quality for other users.
• Implement appropriate security measures to protect API keys and authentication credentials.
• Not reverse engineer, decompile, or disassemble any part of the API or underlying software.
• Accept that API access may be modified, suspended, or discontinued at any time with reasonable notice.

Our Platform may contain links to or integrations with third-party websites, services, or applications that are not owned or controlled by Payroa.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services. You acknowledge and agree that Payroa shall not be responsible or liable for any damage or loss caused by the use of such third-party services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party services that you visit or use.

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination:

• Your right to use the Services will immediately cease
• We may delete your account and all associated data after a reasonable retention period
• Any provisions of these Terms that by their nature should survive termination shall survive
• You may request an export of your data within 30 days of termination

You agree to indemnify, defend, and hold harmless Payroa Corp., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party right, including intellectual property rights
• Any content you submit or transmit through the Services

These Terms constitute the entire agreement between you and Payroa Corp. regarding the use of our Services and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written.

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term.

To the maximum extent permitted by applicable law, Payroa Corp. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Our total liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
